Términos y Condiciones

Bolivar Studios — Productora Audiovisual Cali, Colombia

These Terms and Conditions govern the relationship between Bolivar Studios (hereinafter "the Production Company") and the client who contracts any of its audiovisual services (hereinafter "the Client"). By accepting a quote, signing a contract, or making any payment, the Client confirms full acceptance of these terms.

1. Scope of Service

1.1. The scope of the project is defined exclusively by the quote and/or contract signed by both parties (deliverable, video duration, dates, locations, number of actors, equipment, and other specifications).

1.2. Any service, element, or activity not expressly described in the quote is considered an additional service and will be quoted and invoiced separately.

2. Payment Terms

2.1. Initial payment (50%): To begin the project, the Client must pay fifty percent (50%) of the total quoted value. Without this payment, the Production Company will not begin any work, calendar reservation, or management related to the project.

2.2. Second payment (remaining 50%): The remaining fifty percent (50%) of the total value must be paid in full before the editing stage or the final post-production process of the project begins.

2.3. The Production Company will not deliver definitive material, final versions, or delivery files while the total project value remains unpaid in full.

2.4. Payments may be made through the methods enabled by the Production Company (bank transfer, deposit, digital wallets, or others), which will be communicated to the Client in the quote.

3. No-Refund Policy

3.1. The initial 50% payment is non-refundable under any circumstances. Once the initial payment is made, the Client has no right to request a refund of this amount, regardless of whether the project is canceled, postponed, modified, or not executed for reasons attributable to the Client or to third parties.

3.2. The initial payment commits the Production Company's calendar, technical crew, and resources from the moment it is received; therefore, its non-refundability protects the management, pre-production, and reservation costs already incurred.

3.3. In the event of project cancellation by the Client, the initial payment may be applied as credit toward a future project with the Production Company, subject to calendar availability and at the sole discretion of Bolivar Studios.

4. Calendar and Scheduling

4.1. To guarantee the availability of the calendar, equipment, and talent, the project must be scheduled and the initial payment must be made at least six (6) to five (5) days prior to the expected project start date (shoot or production).

4.2. Projects scheduled with less than five (5) days' notice will be subject to availability and may incur rush-delivery surcharges, as set forth in clause 7 of these terms.

4.3. The Production Company will confirm the production date only after verifying receipt of the initial payment within the periods established herein.

5. Delivery Dates

5.1. The Production Company will deliver the final products on the dates agreed in the quote or contract, provided the Client has fulfilled all payment obligations and supplied all materials.

5.2. Delays in payments, in the delivery of Client materials, or in stage approvals may shift delivery dates proportionally, without this creating any liability for the Production Company.

6. Revisions and Changes

6.1. The project value includes a maximum of two (2) revisions or rounds of changes to the delivered material, within the scope initially agreed.

6.2. A "revision" means each round of adjustment or modification requests that the Client consolidates and sends to the Production Company on a single delivery version (script, edit, design, color, or any other stage of the process).

6.3. If the Client requires more than two (2) revisions, each additional revision will incur an additional cost, which will be quoted by the Production Company according to the complexity and time required to implement the changes, and must be approved and paid by the Client before execution.

6.4. To optimize use of the included revisions, the Client must consolidate all observations into a single document or message per round. Observations sent piecemeal or separately after a round has been consolidated will count within the same revision, at the Production Company's discretion.

6.5. Revisions involving a substantial change to the initial scope (changes to concept, script, location, talent, or project structure) are not considered revisions but scope changes, and will be quoted as an additional service, in accordance with clause 7.

6.6. Corrections of errors directly attributable to the Production Company (technical failures, spelling errors in the delivered material, or omissions within the agreed scope) will be corrected at no additional cost and will not be deducted from the two (2) included revisions.

7. Services and Elements NOT Included in the Payment

Unless expressly agreed in writing in the quote, the value quoted and paid by the Client does not include the following items:

  • Additional shoot hours beyond the time agreed in the quote.

  • Additional editing time or revision sessions exceeding the number of included rounds of changes.

  • Locations (rentals, filming permits, tolls, or usage rights for public or private spaces).

  • Transportation (transport of crew, talent, or technical equipment to locations).

  • Catering (meals for the technical crew, talent, or crew during production).

  • Makeup and wardrobe (professional makeup services, styling, wardrobe, and props).

  • Actors and models (talent fees, agencies, image rights, and casting management).

  • Animation (motion graphics, 2D/3D animation, CGI, or advanced visual effects).

  • Music and licenses (song licenses, original composition, synchronization, copyright, and premium music libraries).

  • Additional changes (modifications to the concept, script, edit, or design beyond the agreed scope and beyond the two (2) included rounds of corrections).

  • Rush deliveries (production or delivery within timeframes shorter than the Producer's standards, which are billed with a surcharge).

7.1. If any of the items listed here is required during production, the Producer will inform the Client in advance with its respective cost, and its execution will be subject to the Client's approval and payment.

8. Intellectual Property and Rights of Use

8.1. Once the total project amount has been paid, the Client receives the commercial usage rights to the final product for the purposes described in the quote.

8.2. Bolivar Studios retains the right to display the produced material in its portfolio, website, and social media, unless otherwise agreed in writing (confidentiality or exclusivity).

9. Liability and Confidentiality

9.1. The Producer undertakes to keep confidential the Client's information and projects, and not to use it for purposes other than performing the contracted service.

9.2. The Producer shall not be liable for damages arising from misuse of the delivered material, from the Client's business decisions, or from the loss of original material where the Client has failed to comply with the agreed backups.

10. Force Majeure

10.1. The Producer shall not be liable for failure to meet deadlines or for suspension of the project where this results from force majeure or unforeseeable circumstances (natural disasters, public health emergencies, public utility failures, government orders, or other unforeseeable circumstances), in which case production will be rescheduled as soon as possible at no additional cost to the Client.

11. Acceptance

11.1. Making the initial payment, signing the contract, or accepting the quote constitutes full acceptance of these Terms and Conditions.

11.2. Any modification to these terms must be made in writing and approved by both parties.
